Terms of Service

These Terms of Service (the “Terms”) form a binding agreement between you and Scale-up Allies LLC, a Wyoming limited liability company doing business as Midstage (“Midstage,” “we,” “us” or “our”). They govern your access to and use of our websites, including compass.midstage.ac, and any subscription to a Midstage kit, such as Scaling Silicon Valley Style, together with its AI skills and related content (collectively, the “Service”).
By creating an account, subscribing or otherwise using the Service, you agree to these Terms. If you use the Service on behalf of a company or other entity, you represent that you have authority to bind that entity, and “you” refers to that entity. If you do not agree to these Terms, do not use the Service.
1. The Service
1.1 A subscription gives you access, for as long as it remains active, to the AI skills for the kit you purchased. The AI skills make that kit’s content, including its book, workbooks and course material, available within compatible third-party AI assistants. The content is provided within the AI skills and not as separate downloads or physical copies.
1.2 We may update, modify, add to or remove content and features of the Service from time to time. We will not materially reduce the core functionality of a paid subscription during a billing period you have already paid for.
2. Fees, Billing and Automatic Renewal
2.1 Price. The subscription price is shown on the kit’s page before purchase (for example, $19 per month). All prices are in US dollars and exclude applicable taxes, which you are responsible for.
2.2 AUTOMATIC RENEWAL. YOUR SUBSCRIPTION RENEWS AUTOMATICALLY AT THE END OF EACH BILLING PERIOD, AND YOUR PAYMENT METHOD WILL BE CHARGED THE THEN-CURRENT SUBSCRIPTION PRICE FOR EACH NEW PERIOD, UNTIL YOU CANCEL. YOU MAY CANCEL AT ANY TIME AS DESCRIBED IN SECTION 3.
2.3 Payment processing. Payments are processed by Stripe, Inc. By subscribing, you authorize us and Stripe to charge your payment method on a recurring basis. We do not receive or store your full payment card number.
2.4 Price changes. We may change the subscription price. We will notify you by email at least 30 days before a price change takes effect, and the new price will apply from your next billing period after that notice. If you do not agree to the change, you may cancel before it takes effect.
3. Cancellation
You may cancel your subscription at any time online at compass.midstage.ac/cancel, or by emailing support@midstage.ac. Cancellation takes effect at the end of the current billing period. You will retain access until then and will not be charged again. Except as provided in Section 4, fees already paid are non-refundable.
4. Refunds
If you request a refund within 30 days of your first subscription payment, we will refund that payment in full. Requests must be sent to support@midstage.ac. After that 30-day period, payments are non-refundable, except where required by applicable law.
5. Accounts and Access Codes
5.1 After purchase, you receive a personal access code, which you use to connect the Service to your AI assistant. Your account is identified by the email address you provide at checkout. You are responsible for keeping your access code confidential and for all activity under your account.
5.2 Each subscription is for use by one individual. You may not share your access code or account with, or transfer them to, anyone else. Notify us promptly at support@midstage.ac if you believe your account or access code has been compromised.
6. License and Acceptable Use
6.1 License. Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your own internal business purposes during your subscription.
6.2 Restrictions. You may not, and may not permit anyone else to: (a) copy, reproduce, distribute, publish, resell, sublicense or otherwise make the Service or its content available to any third party; (b) extract, scrape or systematically download the content of the Service, including by prompting an AI assistant to reproduce it in bulk; (c) use the Service or its content to build, train or improve a competing product, service or AI model; (d) reverse engineer or attempt to circumvent any access controls of the Service; or (e) use the Service in violation of any applicable law.
7. Intellectual Property
The Service and all of its content, including the book, workbooks, course material, AI skills, text, graphics and trademarks, are owned by Scale-up Allies LLC and its licensors, including the authors, and are protected by copyright, trademark and other intellectual property laws. Except for the license in Section 6.1, no rights are granted to you, by implication or otherwise.
8. AI Output; No Professional Advice
8.1 The Service provides general frameworks and educational content about building and running a company. It does not constitute legal, financial, tax, accounting, investment or other professional advice, and no advisory, fiduciary or other professional relationship is created by your use of the Service.
8.2 Responses generated by AI assistants using the Service may be inaccurate, incomplete or unsuitable for your situation. You are solely responsible for evaluating any output and for decisions you make based on it.
9. Third-Party Services
The Service works with third-party services that we do not control, including Stripe and the AI assistant you choose. Your use of those services is governed by their own terms and privacy policies. We are not responsible for the availability, performance or conduct of any third-party service, and changes by those providers may affect how the Service works.
10. Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, OR THAT ANY OUTPUT WILL BE ACCURATE OR RELIABLE, OR THAT USE OF THE SERVICE WILL ACHIEVE ANY PARTICULAR BUSINESS RESULT.
11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW: (A) IN NO EVENT WILL MIDSTAGE, ITS MEMBERS, OFFICERS, EMPLOYEES, AUTHORS OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; AND (B) OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN OF THESE LIMITATIONS, SO THEY MAY NOT APPLY TO YOU.
12. Indemnification
You agree to indemnify and hold harmless Midstage and its members, officers, employees, authors and licensors from any claims, losses, liabilities and expenses, including reasonable attorneys’ fees, arising out of your breach of these Terms or your misuse of the Service.
13. Suspension and Termination
We may suspend or terminate your access to the Service if you materially breach these Terms, including Section 6.2. If we discontinue a kit for reasons other than your breach, we will refund, on a pro-rata basis, any portion of a prepaid billing period that you can no longer use. Sections 6.2, 7, 8, 10, 11, 12, 14 and 16 survive any termination.
14. Governing Law and Venue
These Terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict of laws rules. Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Wyoming, and each party consents to their jurisdiction, except where the law of your place of residence gives you a non-waivable right to bring proceedings elsewhere.
15. Changes to These Terms
We may amend these Terms from time to time. We will post the amended Terms on this page and update the “Last updated” date. If a change is material, we will notify active subscribers by email at least 30 days before it takes effect. Your continued use of the Service after the effective date constitutes acceptance of the amended Terms.
16. General
These Terms, together with our Privacy Policy, are the entire agreement between you and us regarding the Service and supersede any prior agreements on that subject. If any provision is held unenforceable, the remaining provisions remain in full force and effect. Our failure to enforce any provision is not a waiver of it. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition or sale of assets. Neither party is liable for delays or failures caused by events beyond its reasonable control.
